Acquisition of Bilfinger Hochbau strengthens Implenia’s position in Europe’s largest market –

Ideal addition in company’s German home market | Important step towards internationalisation | Access to good technical expertise and long-established customer base

Dietlikon, 16 December 2016 – Implenia is acquiring Bilfinger Hochbau from German company Apleona. The unit, which has a production output of around EUR 450 million (around CHF 500 million) and over 1,000 employees, provides building construction services, mainly in Germany. The acquisition marks another important step in Implenia’s internationalisation strategy. It strengthens the Group’s market position in Germany and at a stroke achieves the hoped-for opportunity for significant expansion in regional business.

Bilfinger Hochbau has a wide reach in its home market of Germany, and a good regional presence. It provides services from planning to client-ready buildings, and has proven expertise in construction site logistics, cold storage construction and facade technology (see attachment).

The transaction marks a significant step for Implenia towards “critical mass” in Europe’s biggest construction market. The acquisition also gives the Group important access to an attractive and long-established portfolio of customers. Bilfinger Hochbau has proven technical capabilities, including many years of experience with BIM. This expertise will help Implenia accelerate its digitalisation plans.

Implenia’s CEO Anton Affentranger is very happy about the deal: “This transaction strengthens our position in Germany. I’m very pleased to welcome our new colleagues to our Group. Together we’ll be able to exploit the market potential effectively and lay the foundations for our Group’s continued sustainable growth.” Hans-Dieter Steinbrücker, CEO of Bilfinger Hochbau, agrees: “We are very glad to have found a new partner with such an excellent reputation. Together with Implenia we can take the strategic future of our business to the next level. Implenia is acquiring an excellent company with a great deal of know-how and outstanding employees.”

The parties have agreed not to disclose any information about the purchase price. Completion of the transaction is subject to approval by the competition authorities. Closing is scheduled for the period between the start of February and the end of April 2017.
